Terms of Service
Last Updated: October 17, 2026
These Terms of Service ("Terms") govern your use of the website services provided by Too Lazy Eggs, LLC ("TLE," "we," "us," or "our"), a Georgia limited liability company located in Sharpsburg, Georgia. By engaging TLE for website services, you ("Client," "you," or "your") agree to be bound by these Terms. "Client" refers to the Homeowners Association, its authorized board members, or the legal entity that contracts with TLE for services.
1. Agreement to Terms
By purchasing, accessing, or using TLE services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a Homeowners Association or other organization, you represent that you have the authority to bind that organization.
Our use of the phrase "no contracts" in marketing materials refers to the absence of long-term commitments or lock-in periods. This agreement is month-to-month and may be cancelled by either party as described in Section 5.
1A. Nature of Service
TLE provides software tools. The board makes every governance decision.
(a) What TLE is. TLE is a software platform that provides website design, hosting, record-keeping tools, and compliance-support features for self-governing Homeowners Associations.
(b) What TLE is not. TLE does not provide legal, accounting, tax, property management, insurance, election, compliance, or other professional advice. The Services are tools that help the Client organize records, track deadlines, prepare notices, and present information. TLE does not manage, administer, or oversee the day-to-day operations of any Homeowners Association.
(c) Board responsibility. The Client is solely responsible for (i) the accuracy, legality, and completeness of all content published through the Services; (ii) reviewing and approving every system setting, notice, letter, mailing, vote, owner balance, and financial record before it is sent, used, or relied upon; (iii) determining whether any action complies with the Client's governing documents, Georgia law (including Senate Bill 406), and applicable federal law; and (iv) configuring the Services and making all implementation decisions.
(d) Setup. During setup, TLE transcribes the Client's governing documents and enters settings into the system. This is clerical data entry. The Client reviews and confirms every setting before the site goes live. TLE does not interpret the governing documents or advise on their meaning.
(e) No agency or fiduciary relationship. This agreement does not create an agency, partnership, joint venture, or fiduciary relationship between TLE and the Client. TLE acts as an independent software vendor. TLE does not act as the Client's agent for any purpose under Georgia law, including O.C.G.A. ยงยง 43-17A-2 and 44-3-232.
(f) Print-and-mail fulfillment. Where TLE provides print-and-mail services, the Client initiates and approves each mailing. Letters are sent in the Client's name, to the Client's return address. TLE provides printing and postage fulfillment. Delivery after carrier hand-off is outside TLE's control. TLE is not the sender for purposes of any notice requirement.
(g) Funds. Resident payments are processed through a third-party payment processor (Stripe) under Stripe's connected-account terms and deposited directly into the Client's bank account. TLE does not collect, hold, control, or disburse association funds. TLE is not a debt collector or collection agency.
(h) Not warranted as compliant. TLE's compliance-support features summarize Georgia law and help the board organize records and disclosures. They do not guarantee compliance with any law, regulation, or governing document. The Client should consult a qualified attorney for legal questions and a licensed CPA for financial statement attestation.
2. Description of Services

3.5 Add-On Services
Records Scanning Bundle: $499 per box. TLE picks up records locally or sends a prepaid shipping label. Every page is scanned to PDF as page images (not searchable text), organized by document type or as labeled on the box, and uploaded to the Client's document center. Originals are shredded or returned, whichever the board chooses. A box is one standard records box (approximately 15 x 12 x 10 inches), filled as full as it closes. Turnaround depends on volume. The board decides which records to scan, which to shred, and which to keep in paper form. Boards should consult their attorney before shredding any original governing document, legal correspondence, or financial record.
3.6 Pricing Changes
TLE reserves the right to adjust pricing with at least sixty (60) days' written notice. You may cancel before new pricing takes effect without penalty.
4. Billing and Payment
The one-time setup fee is due before work begins. Monthly fees are billed on the first business day of each month. Invoices are due within thirty (30) days. Late payments may incur a fee of 1.5% per month. TLE will provide at least fifteen (15) days' written notice before suspending services for non-payment.
All fees are exclusive of applicable taxes. If your Homeowners Association is tax-exempt, provide a valid exemption certificate.
5. Term and Cancellation
Your service agreement is month-to-month with no minimum contract length. Either party may cancel by providing written notice to hello@toolazyeggs.com. Cancellation takes effect at the end of the billing month if notice is given at least fifteen (15) days before month-end.
Upon cancellation, your website remains accessible for thirty (30) days. TLE provides a complete data export within fifteen (15) business days at no charge. Your domain remains yours.
If you cancel before your board confirms its rules (onboarding steps 1 through 4), TLE refunds 25% of the setup fee within thirty (30) days. Once TLE begins building your site (step 5), the setup fee is non-refundable. Monthly fees are non-refundable for partial months.
6. Data Ownership and Portability
You own all content, documents, data, images, and materials you upload or create through our services. TLE does not claim any ownership interest in your data. Upon request or cancellation, TLE provides a complete export in commonly used formats within fifteen (15) business days.
TLE retains a backup for ninety (90) days after cancellation, then permanently deletes it. For Sanctuary tier clients, data storage drives belong to your Homeowners Association. See our Privacy Policy for details on data security.
7. Content Responsibilities
You are responsible for the accuracy, legality, and appropriateness of all content you publish. TLE builds, hosts, and maintains the website platform but does not review or assume liability for content published by the Client. TLE reserves the right to remove content that violates these Terms or applicable law, with reasonable notice.
8. Server Terms (Sanctuary Tier)
The Sanctuary tier uses a split ownership model: data storage drives (containing your community's data) belong to your Homeowners Association, purchased at cost with receipts provided. The computing hardware (mini PC server) is TLE property, provided as part of your service. Upon cancellation, your Homeowners Association keeps the data drives; TLE retrieves the computing unit.
Hardware is covered by the manufacturer's warranty. Replacement hardware outside warranty is purchased at cost. You are responsible for providing a physically secure location with reliable power and internet.
TLE requires encrypted remote access to the server for maintenance and support. You may request a log of remote access sessions at any time.
9. Payment Processing (Enclave and Sanctuary Tiers)
The built-in payment system uses a third-party payment processor (currently Stripe). Resident payments are deposited into your Homeowners Association's bank account. TLE does not hold or have access to payment funds. TLE does not store or transmit payment card data. You are responsible for managing payment disputes and ensuring your dues collection practices comply with Georgia law.
10. Acceptable Use
You agree not to use our services to violate any law, transmit malicious code, attempt unauthorized access to systems, send spam, sublicense or resell our services, or use the website for purposes other than legitimate Homeowners Association operations.
11. Intellectual Property
TLE retains ownership of the website platform, underlying code, build tools, and proprietary methods. You retain ownership of your content, branding, and materials. The visual design of your website is created for your use, but the underlying design system and code patterns remain TLE's intellectual property. TLE may reference your community in portfolio and marketing materials unless you opt out in writing.
12. Limitation of Liability
TLE's total liability shall not exceed the amount you paid in the twelve (12) months preceding the claim. TLE is not liable for indirect, incidental, special, consequential, or punitive damages. These limitations do not apply to data ownership obligations, gross negligence, willful misconduct, or liability that cannot be limited under Georgia law.
13. Indemnification
You agree to indemnify TLE against claims arising from your content, your use of services, your violation of these Terms or applicable law, or disputes between your Homeowners Association and its residents. TLE agrees to indemnify you against claims arising from TLE's breach of these Terms, intellectual property infringement by TLE's platform, or TLE's gross negligence or willful misconduct.
14. Disclaimer of Warranties
TLE will use commercially reasonable efforts to maintain availability, apply security updates, and provide responsive support during business hours. Beyond these commitments, services are provided "as is." TLE does not guarantee uninterrupted or error-free service.
15. Compliance Disclaimer
TLE's services support your compliance efforts but do not constitute legal advice or guarantee compliance with any law. We recommend consulting a qualified attorney for specific compliance questions. TLE designs for accessibility following current standards and best practices but does not warrant specific WCAG conformance levels.
16. Modifications
TLE may update these Terms with at least thirty (30) days' written notice for material changes. Continued use after changes take effect constitutes acceptance. If you disagree, you may cancel per Section 5.
17. Governing Law
These Terms are governed by Georgia law. Disputes will first be addressed through good-faith negotiation, then through the courts of Coweta County, Georgia, or the Northern District of Georgia. TLE does not require mandatory arbitration.
18. Severability
If any provision is held invalid, the remaining provisions continue in full force.
